Starting a Business in Georgia: Ownership, Control and the First Transactions

Choose the form around the business, agree who controls it and separate registration from banking and tax work.

Explain how the business will earn and spend

Identify the service or goods, customers, working location, expected payments, employees and business partners. Those facts make the discussion of an individual entrepreneur or an LLC useful. The legal form affects ownership, management and exposure to business obligations.

Do not choose a structure solely from an advertised tax rate. Have the legal and tax consequences of the actual activity explained together.

Resolve control before filing

For an LLC, agree the owners, percentages, director and signing arrangement. Address borrowing, large payments, sale of key assets and the arrival or departure of an owner.

Example: two founders own equal shares, but only one runs the business. Decide how a deadlock will be resolved and what decisions need both founders. A standard registration document may not express the commercial arrangement the founders expect.

Treat registration, tax and banking as separate tasks

Agree who prepares the founding documents, arranges the address consent, files the application and responds if the Registry asks for a correction. Then identify the person responsible for tax activation, any requested status, declarations and accounting.

Discuss the bank’s requested business explanation and supporting contracts before planning to receive trading income. Registration of the business does not itself answer the bank’s onboarding questions or establish the tax treatment of every receipt.

Finish with usable authority and access

Confirm the registered ownership and representation, provide the final corporate documents and agree who will control the company’s official correspondence and electronic accounts. Use secure channels for credentials and identity documents.

Where a founder or director signs abroad, settle the authority and authentication before the appointment. For a company acquired from a previous owner, investigate its existing obligations and access arrangements as a separate acquisition task; a change of owner does not explain its past activity.
